📘 UNIVERBOOKS — VENDOR MEMBERSHIP TERMS & CONDITIONS

This Vendor Membership Agreement (“Agreement”) is entered into between Universal Books, also known and herein referred to as “Univerbooks” (“Platform”, “We”, “Our”, “Us”), and the registered Vendor (“You”, “Your”, “Seller”) who has been approved to list and sell products (books and related materials) on the official website https://univerbooks.com (“Website”).
For the purposes of this Agreement, “Universal Books” and “Univerbooks” represent the same entity and may be used interchangeably throughout this document.
By registering as a Vendor and listing products for sale, You acknowledge that You have read, understood, and agreed to be bound by these Terms and all policies referenced herein. If You do not agree to these Terms, You must not register or list products on the Univerbooks platform.
1. DEFINITIONS
Platform / Univerbooks: The online marketplace owned and operated by Universal Books, providing vendors the ability to sell books and related products to customers.
Vendor: Any person or entity approved by Univerbooks to list and sell products on the platform.
Products: Books or any other approved educational or printed materials offered for sale.
Order: A confirmed customer purchase through the Platform.
Commission: The fee charged by Univerbooks on the total sale value of each order.
Payment Gateway Charges: The transaction fee levied by the online payment processor (PayU).
Dispatch / Delivery: The process of shipping the ordered product to the customer.
Membership Plan: The plan under which a vendor operates (Free, Professional, or Elite).
2. VENDOR ELIGIBILITY & REGISTRATION
2.1 Vendors must complete the registration process truthfully, providing valid contact, tax, and banking details.
2.2 Universal Books reserves the right to approve, reject, or terminate any vendor account at its sole discretion.
2.3 Vendors agree to maintain updated information in their dashboard, including business address, contact details, and return address.
3. MEMBERSHIP PLANS & FEES
3.1 Vendors may subscribe to one of the available membership plans (Free, Professional, Elite).
3.2 Univerbooks may charge a monthly, yearly, or one-time membership fee depending on the selected plan.
3.3 Membership fees (if applicable) are non-refundable.
3.4 Plan benefits, limits, and commission rates are published on the Platform and may be revised with prior notice.
4. COMMISSION & CHARGES
4.1 Univerbooks will deduct a Platform Commission of 2% (Free Plan) or as per the applicable membership plan on the cart value of every successful order.
4.2 Additionally, the Payment Gateway Fee of 1.5% (PayU transaction fee) shall be deducted from the total order amount.
4.3 The remaining net amount, after deduction of the above charges and applicable taxes, shall be credited to the Vendor.
5. ORDER PROCESSING & SHIPPING
5.1 Primary Shipping Method — Univerbooks Logistics:
Univerbooks, through its authorized shipping agents and logistics partners, will ordinarily be responsible for collecting the booked order from the Vendor’s registered pickup address and shipping it to the customer using Univerbooks’ designated channel partners.
5.2 Vendor Cooperation for Pickup:
The Vendor must ensure that all ordered items are properly packed, labeled, and ready for collection within 24 – 48 hours of order confirmation. Failure to prepare shipments for pickup within the specified time may result in order cancellation or delay penalties.
5.3 Fallback — Vendor Self-Shipping:
If Univerbooks or its logistics partner is unable to collect the shipment due to service unavailability, remote location, or other operational reasons, the Vendor shall arrange to ship the product directly to the customer using a reliable courier service.
5.4 Shipping Cost Compensation:
In cases of Vendor self-shipping, Univerbooks shall reimburse the actual shipping cost to the Vendor after submission of valid proof of dispatch (such as courier receipt and tracking details). The reimbursement will be processed in the next payout cycle along with order settlement.
5.5 Timely Dispatch & Communication:
Whether shipped via Univerbooks logistics or Vendor self-shipping, all orders must be dispatched immediately upon confirmation, and shipment details (tracking ID, courier name, or pickup status) must be updated in the Vendor Dashboard without delay.
5.6 Responsibility During Transit:
Once the shipment is handed over to Univerbooks’ logistics partner, the responsibility for transit, insurance, and delivery lies with Univerbooks’ designated carrier. If the Vendor ships directly, the Vendor assumes transit responsibility until successful delivery is confirmed.
5.7 Non-Shipment or Delays:
Unjustified delays, shipment refusal, or non-cooperation with pickup agents may lead to order cancellation, deduction of compensation charges, or suspension of Vendor privileges.
6. RETURNS & REFUNDS
6.1 Vendors agree to accept returns initiated by customers within 3 (three) days from the date of delivery.
6.2 Returned products must be inspected upon receipt, and the Vendor must approve or dispute return claims within 48 hours.
6.3 In the event of a valid return, Univerbooks shall refund the customer and adjust the same against the Vendor’s next payment cycle.
6.4 The cost of reverse shipping for approved returns shall be borne by the Vendor, unless otherwise decided by Univerbooks.
7. PAYOUTS TO VENDORS
7.1 Vendor payments shall be initiated after confirmation of product delivery to the customer.
7.2 Payment processing and transfer shall take up to 10 (ten) days from the date of dispatch, subject to successful delivery confirmation and absence of disputes or returns.
7.3 All payments will be routed through Bank Transfer (IMPS) to the Vendor’s registered bank account.
7.4 Any transactional discrepancies must be reported by the Vendor within 7 days of payment credit.
8. PRODUCT LISTINGS & CONTENT
8.1 Vendors are responsible for providing accurate titles, images, descriptions, prices, and stock status.
8.2 Misrepresentation, counterfeit books, or unauthorized content is strictly prohibited.
8.3 Univerbooks reserves the right to remove listings that violate intellectual property, copyright, or platform policies.
9. TAXES & INVOICING
9.1 All prices, commissions, and fees mentioned or charged by Univerbooks are inclusive of all applicable taxes, including but not limited to Goods and Services Tax (GST) or any other statutory levies in force at the time of transaction.
9.2 Vendors shall ensure that their product prices listed on the Platform are also inclusive of all applicable taxes and duties.
9.3 Vendors are solely responsible for maintaining valid GST registration (if applicable) and for issuing tax-compliant invoices to customers reflecting the inclusive price.
9.4 Univerbooks may issue tax invoices for its commission or service charges as required under applicable laws and for record purposes.
10. PERFORMANCE & QUALITY
10.1 Vendors shall maintain quality standards, prompt communication, and reliable fulfillment to uphold customer satisfaction.
10.2 Repeated cancellations, delayed dispatches, or customer complaints may lead to penalties, demotion, or termination of membership.
11. INTELLECTUAL PROPERTY
11.1 All trademarks, branding, and platform content belong to Univerbooks.
11.2 Vendors may not use Univerbooks’ name or logo for advertising without prior written consent.
12. TERM & TERMINATION
12.1 Either party may terminate this Agreement by giving written notice or through account closure.
12.2 Univerbooks reserves the right to suspend or terminate vendor access for non-compliance, fraudulent activity, or policy violation.
12.3 Termination shall not release the Vendor from liabilities incurred prior to the termination date.
13. LIABILITY & INDEMNITY
13.1 Vendors agree to indemnify and hold harmless Univerbooks, its affiliates, and officers from any claims, damages, or expenses arising out of:
Breach of these Terms,
Product defects or misrepresentations,
Delay or failure in delivery,
Violations of third-party rights.
13.2 Univerbooks shall not be liable for indirect, incidental, or consequential damages related to vendor operations.
14. MODIFICATIONS
14.1 Univerbooks may amend these Terms periodically.
14.2 Continued use of the platform after notice of changes constitutes Vendor’s acceptance of the revised Terms.
15. GOVERNING LAW & JURISDICTION
15.1 This Agreement shall be governed by and construed in accordance with the laws of India.
15.2 Any dispute arising hereunder shall be subject to the exclusive jurisdiction of the courts located at Durgapur (W.B).
16. ENTIRE AGREEMENT
This Agreement, along with related policies (Privacy Policy, Refund Policy, and Platform Rules), constitutes the entire understanding between the parties and supersedes any prior arrangements.
